Menzies is pleased to announce that it has advised Eurofins on its acquisition of Orchid Cellmark Ltd (“Cellmark”).
Cellmark has three decades’ experience of providing police forces with high quality, specialist forensic science services. In recent years Eurofins has made a number of significant investments in infrastructure and people in the forensic science sector and the acquisition of Cellmark represents a continued commitment to the forensic marketplace and the Criminal Justice System in England & Wales.
Eurofins Scientific is a global leader in food, environmental, pharmaceutical and cosmetic product testing, employing more than 65,000 people across 900 laboratories in 62 countries. Its Forensics division is a trusted international provider, with over 650 employees across six UK sites.
Menzies advised Eurofins across all areas of the transaction including financial and tax due diligence, exchange and completion negotiations as well as providing support with the Competition and Markets Authority (CMA) approval process

“The Eurofins Scientific group have used Menzies for over 25 years on over 50 proposed / completed acquisition in the UK and Europe, with a wide range of deals sizes. I have found that the Menzies deal advisory team, whom I work closely with since I joined Eurofins in 2018, have a great understanding of what Transaction Services support we are seeking and provide clear opinions and recommendations that help us shape the final deal. By way of an example, the acquisition of Cellmark Forensic Science presented a number of challenges, including regulatory complexity and timing constraints associated with the CMA process, which Menzies assisted with. Menzies also helped us shape the final Enterprise to Equity value bridge and negotiate the final payment to shareholders. I would certainly recommend their services.”
