ISSUES
Arraco Global Markets Ltd, an FCA-regulated interdealer broker with international operations across London, Dublin, Tokyo, Singapore, Switzerland, and Bulgaria, entered administration. The business operated within a highly regulated environment, requiring careful management to ensure compliance across jurisdictions.
A key challenge involved the Irish subsidiary, which had been established to maintain EU trading permissions following Brexit. The objective was to explore a potential sale of this entity, but achieving this within the regulatory and operational constraints proved complex. When an immediate sale was not viable, an alternative strategy was required to protect value and minimise disruption.
ACTIONS
We were appointed as Administrators to the UK parent and worked closely with the directors and advisers in Ireland to assess strategic options, including a potential sale of the Irish subsidiary. Following this review, and when a sale was not achievable, we implemented a structured and orderly wind-down of the business.
This process involved ensuring full regulatory compliance with the Central Bank of Ireland while coordinating activity across multiple jurisdictions. We maintained close communication with stakeholders throughout, managing operational complexities and ensuring an efficient and controlled process.
OUTCOME
The orderly wind-down was successfully delivered, with regulatory obligations met in full. The approach enabled a substantial return to the secured lender, preserving value despite the absence of a sale.
